1. Acceptance of Terms
By accessing or using Aeonix Trade's platform, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Eligibility
Our platform is designed for business-to-business (B2B) transactions. You must be:
- At least 18 years old.
- Authorized to represent a legally registered business entity.
- Capable of forming binding contracts under applicable law.
We reserve the right to verify business credentials and reject registrations that do not meet our criteria.
3. Account Registration
To place orders, you must create an account and provide accurate business information, including:
- Company name, business license number, and tax identification.
- Valid email address and phone number.
- Billing and shipping addresses.
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access.
4. Minimum Order Quantity (MOQ)
Most products on our platform have a Minimum Order Quantity (MOQ). MOQ requirements are displayed on each product page.
- We reserve the right to reject orders that do not meet the specified MOQ.
- MOQ may vary by product, supplier, and region.
- Bulk orders may qualify for volume discounts (contact sales for details).
5. Sample Policy
Samples are available for most products to help you evaluate quality before placing bulk orders.
A. Sample Fees
- Sample fees vary by product (typically $10-$50 per unit).
- Shipping costs are borne by the buyer.
B. Sample Fee Refund
- If you place a bulk order (meeting MOQ), sample fees will be refunded or credited to your account.
- Refunds are processed within 7 business days after the bulk order is confirmed.
C. Non-Refundable Cases
- If no bulk order is placed within 90 days of sample purchase.
- Custom or personalized samples.
6. Pricing & Payment
A. Pricing Errors
All prices are listed in USD and are subject to change without notice. If a pricing error occurs due to a system error, we reserve the right to:
- Cancel the order and issue a full refund.
- Contact you to confirm acceptance of the correct price.
B. Payment Terms
Standard payment terms for bulk orders:
- 30% Deposit: Required to initiate production.
- 70% Balance: Due before shipping.
Payment methods: Wire Transfer (T/T), PayPal, Credit Card (Visa/Mastercard).
C. Late Payments
Orders not paid within the agreed timeframe may be canceled. A late fee of 2% per month may apply to overdue invoices.
7. EXW & Two-Phase Payment
Our platform uses an EXW (Ex Works) pricing model. This means:
- Product prices displayed do not include shipping costs.
- Shipping costs are calculated after packing based on actual weight and volume.
- You will receive a separate Shipping Invoice within 3-5 business days of placing your order.
A. Two-Phase Payment Process
- Phase 1: Pay for product costs at checkout.
- Phase 2: Pay for shipping costs when invoiced (via payment link).

8. Shipping & Incoterms
All shipments are subject to Incoterms 2020. Unless otherwise specified, our default terms are:
- FOB (Free on Board): Buyer is responsible for shipping costs once goods are loaded onto the vessel.
- EXW (Ex Works): Buyer arranges and pays for all transportation.
- DDP (Delivered Duty Paid): Available for select regions (additional fees apply).
We work with trusted logistics partners: DHL, FedEx, UPS, and sea freight forwarders.
10. Cancellation & Restocking Fee
A. Order Cancellation by Buyer
If you wish to cancel an order before shipping, the following fees apply:
- Before sourcing begins: Full refund (within 24 hours of order placement).
- After sourcing has begun: 15% restocking fee will be deducted from refund.
- After packing is complete: 25% restocking fee will be deducted from refund.
B. Refusal to Pay Shipping
If you refuse to pay the shipping invoice after receiving it:
- Your order will be held for up to 30 days.
- After 30 days, the order may be canceled with a 20% restocking fee deducted.
- Perishable or time-sensitive goods may have shorter hold periods.
C. Force Majeure
Cancellations due to force majeure events (natural disasters, pandemics, government actions) will be handled on a case-by-case basis with no automatic restocking fee.
9. Returns & Refunds
A. Defective Products
If you receive defective or damaged goods, contact us within 7 days of delivery. We will provide:
- Free replacement or refund.
- Return shipping label (for eligible cases).
B. Non-Returnable Items
- Custom or personalized products.
- Products damaged due to buyer's mishandling.
- Products used, washed, or altered after delivery.
11. Limitation of Liability
To the maximum extent permitted by law, Aeonix Trade is not liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, revenue, or business opportunities.
- Delays caused by force majeure events (natural disasters, pandemics, political unrest).
Our total liability shall not exceed the total amount paid by you for the specific order in question.
12. Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms of Service.
- You engage in fraudulent activity or payment disputes.
- Your account has been inactive for more than 2 years.
Upon termination, all outstanding payments become immediately due.
